Wodel Financial, Inc. (the Company) was incorporated and organized under Philippine laws and was registered with the Philippine Securities and Exchange Commission (SEC) on August 31, 1959.

On March 6, 2009, the Company filed the Amended Articles of Incorporation (AOI) with the SEC to extend the life of the Company for another 50 years. The Company is formed to purchase, acquire, and/or hold any part of the rights, assets, business and property of any person, firm, association, partnership, syndicate or corporation, including the purchase of shares of stocks of or interest in any firm, association, partnership, syndicate or corporation, and to sell, lease or in any legal manner dispose of or any part of the rights, assets, business and property of any person, firm, association, partnership, syndicate or corporation, insofar as the law may allow, and to exercise all the powers necessary or convenient in and about the conduct and management of the same; to do general business as commission merchant, factors, brokers, indenters, selling agents, forwarding agents, shipping agents, insurance or bonding companies representations or general agent, or individuals and to act as general agent/broker for life and non-life insurance for its principals, insofar and to the extent permitted by law.

On June 7, 2018, the Board of Directors (BOD) approved the amendment to the Company’s AOI tochange the corporate name from “Wodel, Inc.” to “Wodel Financial, Inc.” and to add to its primary purpose to authorize the Company to operate as a Financing entity. The amendment was approved by Philippine SEC on March 5, 2019.
